4. Orders & Contract Formation

By placing an order, you make an offer to purchase the specified products at the listed price. A legally binding contract is formed when we send you an order confirmation email. We reserve the right to refuse or cancel any order at our discretion, including where we suspect misuse, fraud, or breach of these Terms. If we cancel your order, a full refund will be issued to your original payment method.

5. Pricing & Payment

• All prices are listed in GBP (£) inclusive of any applicable VAT.
• Prices are subject to change at any time without notice. The price charged will be the price displayed at time of order.
• Payment is processed securely by Stripe (PCI-DSS Level 1 compliant). We do not store card data.
• We accept major UK debit and credit cards via Stripe.

We make every reasonable effort to ensure product descriptions, purity specifications, and Certificate of Analysis data are accurate. However, research compounds are subject to lot-to-lot variation and we do not warrant that any product will produce specific research outcomes. COAs reflect independent testing at the time of manufacture of each specific batch.

Reproduction, distribution, or use of any content without prior written permission is strictly prohibited.

10. Limitation of Liability

To the fullest extent permitted by applicable UK law:

• RS Bio Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the purchase, use, or misuse of our products.
• Our total aggregate liability to you for any claim arising from an order shall not exceed the total value of that order.
• We do not exclude or limit liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

You agree to indemnify and hold harmless RS Bio Labs, its directors, employees, and agents from any claims, damages, costs, or liabilities arising from: your breach of these Terms; your misuse of our products; your violation of any applicable law; or any third-party claim arising from your use of our products.

You agree not to: use our website for any unlawful purpose; attempt to gain unauthorised access to our systems; transmit any malicious code; scrape, mine, or harvest data from our website without written consent; or use our website in any way that could damage our reputation or business.

These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, Returns Policy, and Shipping Policy, constitute the entire agreement between you and RS Bio Labs in relation to your use of our services and supersede all prior communications, representations, or agreements.

18. Changes to These Terms

We reserve the right to amend these Terms at any time. Updated Terms will be posted on this page with a revised date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

19. Affiliate Programme & Commission Calculation

RS Bio Labs operates an optional affiliate programme through which registered customers may earn commission on qualifying orders placed by customers they refer using their personal affiliate code. By creating an account and accepting these Terms, you also accept the affiliate-programme terms below if and when you choose to participate.

19.1 How commission is calculated

Commission is paid on the profit generated by a referred order, not on the gross sales value. The formula is:

Components explained:

• Total paid by customer — the full amount charged to the customer's card for the order, including shipping and after any promotional discount.
• £10 postage — postage costs are excluded from the commission base. We deduct a flat £10 per order regardless of the actual shipping charged, even on free-shipping orders, because we incur fulfilment costs on every parcel.
• Cost of items × 1.10 — the wholesale / landed cost of each item in the order multiplied by 1.10. The 10% uplift covers payment-processing fees, packaging, and a small margin so that you earn commission on the genuine profit of the sale.
• Your commission percentage — set by us when your account is enrolled in the programme. The default rate is 30%.

19.2 Worked example

A referred customer pays £100 in total (including postage). The items they bought cost us £30 to source. Your commission percentage is 30%.

19.3 Why we calculate it this way

Paying commission on gross sales (the headline price the customer paid) sounds simpler, but it would mean we pay commission on costs we never received as profit — shipping fees, payment processing, and the wholesale cost of the goods. Over time this isn't sustainable and would force us to either reduce commission rates or restrict the programme. By paying you a higher percentage of a true profit figure, we can offer a generous rate (default 30%) on every qualifying order without compromising the business.

19.4 When commission becomes payable

A commission row is created automatically when a referred customer's order reaches paid status. It is held as pending until the first day of the month following the order, after which it becomes available for withdrawal. This maturation period covers our refund/return window. Commission on an order that is later refunded will be reversed.

19.5 Payout

You may request a payout of your available balance at any time via your account dashboard, subject to a £25 minimum. Payouts are made by UK bank transfer to the account details you have provided. We process payout requests on a monthly cycle. Payouts are made gross — you are responsible for declaring affiliate income to HMRC and accounting for any tax due.

19.6 Limits and exclusions

• Commission is payable on each customer's first orders only, up to the per-referral order limit configured on your account (default: 5 orders per referred customer).
• You may not earn commission on your own purchases or on orders placed by your immediate household.
• Fraudulent referrals (including bot-driven sign-ups, fake accounts, or self-referrals) will be reversed and may result in termination of your affiliate account without payment of any outstanding balance.
• We may adjust your balance manually (up or down) with a written note in the audit log to correct errors, refund disputes, or apply goodwill credits. Any such adjustment will be visible in your account.
• We reserve the right to change commission percentages, the £10 postage deduction, the 1.10 cost multiplier, or any other parameter of the calculation at any time. Changes apply to commissions generated after the change date; previously-earned commission is not affected.

19.7 Termination

Either party may terminate your affiliate-programme participation at any time. On termination, any available balance above the £25 minimum will be paid out on the next monthly cycle; balances below the minimum are forfeit unless agreed otherwise in writing.
